This Website Terms of Use (“Terms of Use”) is a legally binding agreement between you (“you” or “User”)and Shamrock Nutrasciences Pvt Ltd (“Reework,” “our,” “we,” or “us,”), a company incorporated under the laws of India having its offices at 83 E, Hansraj Pragji Building, Off. Dr. E. Moses Road, Worli, Mumbai, Maharashtra 400018 and includes its subsidiary and affiliate companies. The Terms of Use govern the use of our website (https://www.reework.in) and mobile application (“Site”). By accessing and using our Site, you are bound by the Terms of Use and Privacy Policy.
We retain the right to amend these Terms of Use without providing advance notice. Your continued use of the Site subsequent to any such alteration signifies your acceptance and commitment to adhere to the revised Terms of Use. The most recent revision date for these Terms of Use is indicated above, thus it is advisable to revisit periodically for any updates.
These Terms of Use regulate your utilization and entry to our Site. In order to become a Customer (hereinafter defined) and sign up for a Reework account and qualify to utilize our Subscription Services (as defined in the End User Agreement), it is essential that you carefully examine and consent to our End User Agreement. If you do not concur with the terms of End User Agreement, kindly refrain from utilizing our Subscription Services. If you are a Practitioner/ReeCoach (hereinafter defined), it is essential that you carefully examine and consent to our Partners Agreement.
- Definition
- “Content” shall have the meaning as specified in Clause 2.1.
- “Customer” shall mean any consumer who opts for or utilizes the services of Reework, whether paid or unpaid.
- “Feedback” shall have the meaning as specified in Clause 11.1.
- “Health Records” shall have the meaning as specified in Clause 7.1.2.
- “IG Rules” shall mean Information Technology (Intermediaries Guidelines) Rules, 2011.
- “Information” shall have the meaning as specified in Clause 8.3.
- “Intellectual Property” shall mean all forms of intellectual property subsisting under the laws of India and all analogous rights subsisting under the laws of each and every jurisdiction throughout the world and includes any and all rights related to product and/or work owned and created by Reework as well as intangible assets including but not limited to patents, trademarks, service marks, trade names, registered designs, copyrights, rights of privacy and publicity, works and work processes originated out of the services rendered by Reework and other forms of intellectual or industrial property, know how, inventions, formulae, confidential or secret processes, trade secrets, any other protected rights or assets and any licenses and permissions in connection therewith, in each and any part of the world and whether or not registered or registrable and for the full period thereof, and all extensions and renewals thereof, and all applications for registration in connection with the foregoing.
- “Personal Records” shall have the meaning as specified in Clause 7.1.1.
- “Practioner(s)” shall mean authorized associates/partners of Reework. Such Practitioners may also be referred to as “Reecoach”.
- “Records” shall have the meaning as specified in Clause 7.1.
- “SPI Rules” shall mean Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Information) Rules, 2011.
- “Subscription Services” shall mean Reework’s SaaS platform as may be more particularly described or identified in the End User Agreement.
- “Third-Party Content” shall have the meaning as specified in Clause 6.1.
- “User” shall mean any individual or organization who uses or accesses the Site. Use of the pronouns ‘you’ and ‘your’ are indicative of the User and shall be interpreted as a reference to the User.
- “User Materials” shall have the meaning as specified in Clause 4.2.
- Authorized Uses of Site
- You are permitted to utilize the Site, as well as the information, written materials, images, and/or other content that you encounter through the Site (individually or collectively referred to as the "Content"), exclusively for your personal, non-commercial purposes and/or to gain knowledge about Reework products and services. This usage must strictly adhere to the terms outlined in these Terms of Use.
- Please note that
your use or access to
any of our
services or
products,
whether free or paid, shall be governed by our End User Agreement, in addition to being subject to these Terms of Use.
- Restricted Uses of the Site
- You shall
not:
- license, sublicense, rent, lease, and distribute the Sites to any third party except as permitted by these Terms of Use.
- Access or conduct searches on the Sites (including downloading any data or content contained therein or transmitted thereby) by means of any engine, software, tool, agent, device, or mechanism, which includes but is not limited to spiders, robots, crawlers, or any other comparable data mining tools except using Site features expressly provided for this purpose.
- Utilize the Sites in ways that extend beyond the rights explicitly granted in these Terms of Use.
- Engage in reverse engineering, disassembling, decompiling, decoding, or any other efforts to extract or obtain unauthorized access to any software component of the Site, whether in its entirety or in part.
- Modify, alter or generate derivative works based on the Site either in whole or in part.
- Employ the Site for any unethical, immoral, unfair, illegal purposes or actions amounting to misappropriation, including but not limited to providing or publishing content that is false or infringes upon someone’s privacy rights.
- Access or utilize the Site with the intent to gauge, construct, or assist, either directly or indirectly, in the development of products or services that compete with Reework.
- Frame, replicate, sell, resell, rent, or lease the usage or access of the Site to any third party.
- Conduct or reveal any performance or vulnerability testing of the Site without obtaining prior written approval from Reework. This includes activities such as network discovery, port and service identification, vulnerability scanning, password cracking, remote access, or penetration testing of the Site.
- Circumvent or disable any security or technological features or measures of the Site.
- Utilize the Site in a way or for any purpose that infringes upon, misappropriates, or otherwise breaches the intellectual property rights or other rights of any individual or entity, or that contravenes any applicable laws.
- Obstruct or disrupt the integrity or efficiency of the Site, or the data and content within it, or transmitted through it.
- User
Material and Success
Stories
- By utilizing this Site, you consent to the application of our Privacy Policy to any information you share with Reework.
- You affirm that you possess full ownership, legal rights, and interests in the content or materials you share on the Site or provide to Reework (referred to as "User Materials"). This includes but is not limited to, having obtained any necessary consents, authorizations, releases, clearances, or licenses from third parties (such as, but not limited to, releases related to rights of privacy or publicity) that are essential for you to offer, post, upload, input, or submit these User Materials.
- You are solely accountable for the content you submit to Reework whether for publication or otherwise on the Site.
- You may provide us with information including your success stories, or recommendations concerning Practitioners or feedback that may be published by Reework (“Stories”). Reework's role in publishing Stories is limited to that of an 'intermediary' as defined in the Information Technology Act, 2000. Reework disclaims all responsibility for the content of Stories, and its role regarding such content is confined to its obligations as an 'intermediary' under the aforementioned Act. Reework is not obligated to compensate or pay any consideration to any User for publishing or republishing any Stories across its platforms.
- The publication of success stories on the Site is subject to Clause 4.6 of these Terms of Use. Without prejudice to the detailed terms in Clause 4.6, you agree not to post or publish any content on the Site that (a) violates any third-party intellectual property or publicity or privacy rights, or (b) contravenes any applicable law or regulation, including but not limited to the IG Rules and SPI Rules. Reework reserves the right, at its sole discretion, to refrain from publishing your Stories if required by applicable law and in accordance with Clause 4.6 of these Terms of Use.
- Subject

hereby notifies you
that you are prohibited from engaging in
the hosting,
displaying,
uploading,
modifying,
publishing,
transmitting, updating, or sharing of
any information
that:
- Belongs to another person without proper authorization;
- Harms minors in any manner;
- Infringes upon any patent, trademark, copyright, or other proprietary rights;
- Violates any currently applicable law;
- Deceives or misleads the recipient about the origin of such messages or communicates grossly offensive or menacing information;
- Impersonates another individual;
- Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer resource;
- Threatens the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states, public order, or incites the commission of any cognizable offense or obstructs the investigation of any offense, or insults any other nation.
- You agree not to knowingly provide misleading information or engage in any fraudulent activities. You additionally affirm that the Stories or User Materials you provide comply with these Terms of Use.
- Intellectual Property
- The Site is built on Reework's proprietary technology. The Sites, Content and proprietary technology are safeguarded by relevant Intellectual Property and legal regulations, encompassing inter alia trademark, patent and copyright laws. All Intellectual Property rights associated with the Site and Content are owned by Reework. Reework retains all Intellectual Property for the Site and Content.
- ‘Reework’, Reework logo and other marks of Reework, are considered trademarks and are the property of Reework. The visual appearance, layout, colour scheme, and design of Reework.in are protected as Reework’s Intellectual Property. Users are not granted any rights or licenses to use the aforementioned Intellectual Property except as expressly specified in these Terms of Use.
- Reework reserves the right to use and incorporate any suggestions, Feedback or Stories you provide into the Site, without requiring payment or any conditions.
- You assure that the posting of Stories or User Materials does not constitute a violation or infringement of any patents, copyrights, trademarks, trade secrets, rights of privacy, rights of publicity, moral rights, or any other intellectual property rights recognized by any relevant jurisdiction, whether held by individuals or entities. It also does not breach any agreements with any other individuals or entities.
- Reework upholds the intellectual property rights of others and expects its Users/partners to do the same. Reework reserves the right, at its sole discretion, to suspend access or terminate the accounts of users who infringe upon the intellectual property rights of others.
- If you believe that your work has been copied in a manner that constitutes infringement on Reework's Site, kindly furnish the following information to Reework at support@reework.in
- Third-Party Websites
- The Sites may contain links to third-party websites or information that have been incorporated solely for your convenience. The content expressed, authored, or provided by other Users, or third parties on the Site, including but not limited to opinions, advice, statements, services, offers, or any other information (referred to as "Third-Party Content"), reflects the viewpoints and contributions of the respective authors or creators. These opinions and materials do not represent the perspectives of Reework or its shareholders, directors, officers, employees, agents, or representatives. By utilizing Third-Party Content, you will be redirected away from the Site. It's important to note that such Third-Party Content neither constitutes nor implies an endorsement, sponsorship, or recommendation by Reework of the third party, the third-party website, or the information found there. Reework bears no responsibility for the availability of these external websites, nor is it responsible or liable for their content.
- Reework has no control over Third Party Content and cannot ensure its accuracy, integrity, or quality. REEWORK DISCLAIMS ANY RESPONSIBILITY OR LIABILITY, WHETHER DIRECTLY OR INDIRECTLY, FOR ANY HARM OR LOSS RESULTING FROM YOUR USE OF OR RELIANCE ON ANY PRODUCTS, WEBSITES, OR INFORMATION OBTAINED FROM ANY THIRD-PARTY SERVICE OR THIRD PARTY CONTENT. The responsibility lies with you to assess the information, opinions, advice, or any other content found on third-party websites.
- If you choose to follow links leading to websites owned by Reework affiliates or service providers, you will exit the Site and become subject to the terms of use and privacy policy governing those specific websites.
- Reework retains the right to exhibit sponsored advertisements on the Site, which will be identified as "Sponsored ads." Reework disclaims any liability for the accuracy of information or claims made in these sponsored ads, without prejudice to the status of other content. Users are advised that Reework does not endorse visiting the Sponsored ads page or availing services from them. Reework shall not be held liable for the services provided by the providers of the Sponsored ads .
- Personal Records
- Reework
offers Users a feature
where
personal
records of
User/Customer is recorded. The information
contained within your Records
comprises of
two
categories:
- User-created: Information that you upload or that is generated during your interactions within the Reework ecosystem (“Personal Records”).
- Practitioner-created: Records generated through your interactions with a Practitioner utilizing Reework software services (“Health Records”).
Personal Records and Health Records shall collectively be referred to us “Records”.
- Your Records are created only subsequent to your registration and explicit acceptance of these Terms of Use or upon execution of a binding End User Agreement.
- Any Practitioner created Health Records are provided on an “as-is” basis, solely at the intent, risk, and responsibility of the Practitioner. Reework does not validate this information and makes no representations regarding it. If you notice any discrepancies or wish to make changes to the Health Records in any way, you should contact the relevant Practitioner directly.
- Maintaining accurate contact information, including your mobile number and email ID, within your Records is your responsibility. Personal Records and Health Records, upon request, may be dispatched to mobile number and/or email ID specified in the Records. Upon any updates to your contact information (mobile or email), we will send a confirmation. Reework bears no responsibility for any losses or inconveniences arising from your failure to update your contact details with Reework.
- By registering your dependents with your own Records and accessing their Health Records, you are considered responsible for managing their Records and assume all obligations that would apply if they had maintained separate individual Records. You agree that obtaining prior consent from your dependent is solely your responsibility, and you have the right to share, upload, and publish any sensitive personal information of your dependent. Reework bears no responsibility for any claims, disputes, or liabilities arising in this regard. You agree to indemnify Reework and its officers against any claims or liabilities arising from unauthorized use of such information.
- If you wish to delete your Personal Records, please contact our service support team at [support@reework.in]. However, please note that only your account and any associated Personal Records created by you will be deleted. Health Records stored by the Practitioners will remain stored in their respective accounts.
- Reework employs industry-level security measures and encryption to protect your Health Records. However, Reework cannot guarantee prevention of unauthorized access if your login credentials are lost or compromised. Should you become aware of any unauthorized use or access, it is your responsibility to promptly inform Reework. Please ensure the security of your login credentials and report any suspected breaches to [support@reework.in] immediately.
- You acknowledge that failure to synchronize data with the server may result in the loss of your Personal Record.
- Health Records are shared with the Practitioner by sending them to the phone numbers provided by your Practitioner. Reework bears no responsibility for adding Health Records to incorrect numbers if those numbers are provided incorrectly by the Practitioner.
- Reework bears no responsibility or liability for any content, facts, Health Records, medical deductions, non-medical deduction, or language used in your Health Records. Your Practitioner assumes sole responsibility and liability for your Health Records and any information provided to us, including but not limited to the content within them.
- You agree and acknowledge that Reework may require access to the Record in cases such as technical or operational issues encountered by you regarding access or ownership of the Records.
- You recognize that the Practitioners you visit may utilize Reework's software or third-party software for the operation of their businesses and Reework's services, including but not limited to the utilization and storage of Records. To the extent that your Records have been shared with Reework or stored on any Reework products/services used by Practitioners you have visited or may have visited in the past, you hereby consent to Reework storing your Records related to those previously visited Practitioners with whom Reework has tie-ups for their business purposes and for Reework's services, including but not limited to the usage and storage of Records. Furthermore, upon creating your account with Reework, you agree to the linking of such Records available in Reework’s database to your Reework account.
- Limitation of Liability
- To the greatest extent permitted by applicable law, under no circumstances shall Reework and its service providers, licensors, or suppliers be held liable for any direct, indirect, punitive, incidental, special, consequential, exemplary, or other types of damages; including, but not limited to, damages for cover, damage to goodwill, loss of data, revenue, profits, or other intangible losses arising from or in any way connected with the use or performance of the Site, the delay or inability to use the Site, or any Content, or otherwise arising from the use of the Site. This includes damages based on contract, tort, negligence, strict liability, the failure of any limited remedy to achieve its essential purpose, or any other legal theory, even if Reework or any of its suppliers has been informed of the possibility of such damages.
- You acknowledge that certain content, including text, data, graphics, images, information, suggestions, guidance, and other materials (referred to collectively as "Information") accessible on the Site or through Subscription Services, may originate from individuals within the medical field. However, neither the presentation of such Information nor your access/utilization of it establishes a doctor-patient or medical professional-patient relationship between you and Reework. Furthermore, this Information does not constitute an opinion, medical advice, diagnosis, or treatment for any specific condition. You acknowledge that the Information accessed on Reework does not constitute medical advice in any manner. You accept that any actions or omissions resulting from your interpretation of the Information is solely your responsibility. By using the Information, you agree to release Reework from and indemnify Reework against any claims that may arise from your actions based on the Information you have viewed/used.
- The outcomes of any searches you conduct on the Site for Practitioners should not be interpreted as an endorsement by Reework of any specific Practitioners. Should you choose to engage with a Practitioners for their services, you do so at your own risk.
- Notwithstanding
the general
provisions
outlined
above,
Reework does not engage in providing healthcare
or medical advice or
diagnosis
and
therefore
bears no
responsibility for any interactions between
Users and Practitioners.
Users
acknowledge
and agree
that
Reework shall not be held liable
for:
- Any issues User may have with a Practitioner;
- Inability of Practitioner in fulfilling their obligations towards Users;
- Any incorrect, inadequate or inappropriate advice, treatment, health plan, recipe inter alia given by a Practitioner;
- Any negligence on part of the Practitioner;
- Any inadequate or inappropriate treatment, similar challenges, or any form of inconvenience experienced by the User resulting from the Practitioner's failure to deliver the agreed Subscription Services;
- Any misconduct or inappropriate behaviour by the Practitioner or the Practitioner’s staff;
- If User does not show up for any appointments scheduled with a Practitioner;
- If Practitioner cancels or reschedules a booked/confirmed appointment or any variation in the fees charged.
- In the event that, despite the other terms of these Terms of Use, Reework is found to be liable by the Courts of Mumbai, to you or any third party for any loss, harm, or damage, you agree that the total liability of Reework, as well as its officers, directors, managers, employees, affiliates, agents, contractors, service providers, licensors, or suppliers, shall, in all cases, be limited to INR 1,00,000.
- Indemnity
- You acknowledge and accept that you bear personal responsibility for your actions while using the Site and availing services of a Practitioner. You also agree to indemnify, defend, and protect Reework, along with its parent companies, subsidiaries, affiliated entities, joint ventures, business partners, licensors, employees, agents, and any third-party information providers, against any and all claims, losses, expenses, damages, and costs (including, but not limited to, direct, incidental, consequential, exemplary, and indirect damages), as well as reasonable attorney fees. These claims and expenses may arise from or be related to (i) your use, misuse, or inability to use the Site or its Content; (ii) any violations of these Terms of Use committed by you; (iii) any violation of any rights of a third party through use of the User Materials; and (iv) any failure on your part, or on the part of your employees, agents, contractors, or invited individuals, to adhere to relevant laws and regulations;
- Service Interruptions
- To ensure optimal service quality, Reework reserves the right to periodically interrupt or suspend access to the Sites, in whole or in part, to carry out routine maintenance, updates, enhancements, or other necessary changes. Whenever possible, Reework will provide advance notice of such interruptions, although this may not always be feasible.
- Reework
retains the discretion to
suspend
or
terminate
the
entire Site or specific portions thereof, with
or without notice, under
the
following
circumstances:
- Breach of Terms: If you are found to be in violation of these Terms of Use or any other applicable agreements or policies, Reework may suspend or terminate your access to the Site.
- Legal Obligations: If required by law, regulation, court order, or government authority, Reework may suspend or terminate the Site, or specific features or content.
- Security Concerns: Reework may suspend or terminate the Site to protect the security and integrity of the services, the Site, User Materials, or Records in the event of suspected security breaches or threats.
- Business Decision: Reework reserves the right to suspend or terminate the Site, in whole or in part, based on its own business decisions, including but not limited to changes in strategic direction, discontinuation of services, or any other legitimate business rationale.
- Force Majeure: Reework may temporarily suspend or terminate the Site in circumstances beyond its reasonable control, such as "force majeure" events, including natural disasters, acts of terrorism, labour strikes, infrastructure failures, blackouts, or similar events.
- In the event of Site suspension or termination, you shall cooperate with Reework to facilitate any necessary data retrieval, as per applicable law.
- Reework shall not be liable to you or third parties for any damages, losses, or inconveniences arising from service interruptions, Site suspension, or termination, except as expressly provided by applicable laws or regulations.
- By using the Site, you acknowledge and accept Reework’s right to interrupt services for maintenance purposes and to suspend or terminate the Site as outlined in these Terms of Use.
- Feedback
- We may offer you a means to share feedback, suggestions, and ideas regarding our Site or services ("Feedback") should you wish to do so. By doing this, you consent to our discretion in using the Feedback you provide, which may include incorporating it into future improvements and alterations to our Site.
- You
consent to Reework contacting
you via
telephone,
email,
SMS, or any other electronic means of
communication for the purpose
of:
- Gathering Feedback related to the Site or Reework’s services; and/or
- Gathering Feedback regarding any Practitioners listed on the Site; and/or
- Addressing any complaints, information, or queries from Practitioners regarding your Stories.
- By submitting Feedback, you grant us and our assigns an enduring, global, entirely transferable, sublicensable, irreversible, royalty-free license to utilize, modify, generate derivative works from, disseminate, and showcase the Feedback in any manner, for any purpose, and across any media, software, or technology, both present and future. This is done without any obligation to provide attribution or compensation to you or any third party.
- Privacy Policy
- Your utilization and access of our Site is also governed by our Privacy Policy. We encourage you to carefully review our Privacy Policy to comprehend your rights and responsibilities regarding the collection and storage of data. Reework’s Privacy Policy outlines its procedures for managing information supplied by Customers, and Users when they use and access Reework’s Site and Subscription Services. By accessing and/or utilizing our Site and Subscription Services, you acknowledge that you are in agreement with our Privacy Policy. You may access our Privacy Policy here: https://reework.in/PrivacyPolicy.html.
- If there is any inconsistency or conflict between the Terms of Use and Privacy Policy, the Privacy Policy shall prevail over the Terms of Use.
- Reework Account
- If you create an account on our Site to avail or utilize Subscription Services. You acknowledge that you bear complete responsibility for all activities carried out under your account, regardless of whether you personally engage in those activities. It is your obligation to promptly inform us of any unauthorized use of your account or any security breaches involving your password or our Site that come to your attention. You maintain full responsibility for maintaining the confidentiality of the password to your Reework account. You also commit to informing us promptly in the event your password is lost, stolen, or disclosed to an unauthorized third party, or if there are any concerns that it may have been compromised. Upon receipt of such information, Reework may suspend your access to your account. Access restoration will be granted solely upon your reapplication to Reework or upon completion of a new registration process. Reework shall not be liable for any losses incurred due to the unauthorized use of your Reework account; you may be held liable for losses suffered by Reework or other affected parties resulting from such unauthorized use.
- Warranties
- Your utilization of the Site and the Subscription Services is exclusively at your own risk. Both the Site and Subscription Services are provided on an "as is" basis. We, along with our suppliers, service providers and licensors, explicitly disclaim all types of warranties, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a specific purpose, title, and non-infringement. No statement or information, whether oral or written, obtained from Reework in any manner, shall establish any warranty not expressly set forth in these Terms of Use. The Content may contain inaccuracies or typographical errors. Reework hereby disclaims all liability, to the maximum extent permitted by applicable law, arising from your utilization or reliance on the Site, Subscription Services, representations, and warranties made by other Users, as well as the content or information provided on the Site. This includes any opinion or suggestion offered or expressed by Reework, Practitioners or any User
- We cannot guarantee the accuracy, completeness, or usefulness of the Site or any of the Subscription Services, and you rely on them at your own discretion and risk. Any material, Content or Information you access or acquire through our Site are done so entirely at your own judgment, and you bear sole responsibility for any harm to your computer or loss of data resulting from the download of such materials through our Site. No advice or information, whether oral or written, obtained from us or via our Site, shall establish any warranty not expressly articulated in this agreement.
- Reework cannot provide an assurance or warranty that browsing the Site or files accessible for download through the Site will be devoid of contamination by software viruses or any other detrimental computer code, files, or programs.
- You confirm and warrant that you are accurately representing your identity, refraining from submitting fictitious, false, or inaccurate information about yourself. Furthermore, all information contained within the posted User Materials and Records is truthful and either your original work or work for which you have the necessary authorization to submit.
- If you are a Practitioner, you agree to provide such declaration on the Site under your name or your clinic's name as determined by Reework, with the aim of safeguarding its business interests and ensuring the welfare of Users. You shall indemnify Reework for any losses suffered due to your misrepresentations that has caused harm to Reework or its Users.
- Publicity
- Reework may, upon receipt of your consent, utilize your trade names, trademarks, service marks, logos, domain names, and other unique brand attributes in presentations, marketing materials, customer lists, financial reports, practitioner listing, and website listings (including links to your website). This usage is intended for advertising or promoting your utilization of Sites, Subscription Services, and products, if applicable.
- Retention of User’s Information
- Reework may retain the information collected from Users via its Site or Subscription Services for a duration deemed necessary, contingent upon the type of information gathered, its intended purpose, the methods employed for its utilization, and in accordance with the SPI Rules. Computer web server logs may be retained for as long as they are administratively required.
- Miscellaneous
- These Terms of Use form the complete agreement between you and Reework concerning your use of the Site, and they override all previous or concurrent communications, whether electronic, verbal, or written, pertaining to your utilization of the Site. Any failure or delay by Reework to enforce any provision of these Terms of Use or respond to a breach or default shall not be deemed a waiver of any previous or subsequent breach or default.

- These Terms of Use and rights and obligations arising out of or in connection with this agreement, shall be governed by laws of India without regard to its conflict of laws provisions and shall be subjected to the courts located in Mumbai.
